To strengthen its legal department, DEME is looking for a Legal Counsel with experience in corporate Law (including M&A) and contract law.

Beschrijving

You will be part of the legal department, situated at DEME’s headquarters in Antwerp, consisting of an extensive and complimentary team of in-house legal counsels, each of them covering and responsible for one or more geographical areas in the world, DEME business units and/or particular professional domains.

You will be a part of the legal team responsible for the DEME Concessions activities. DEME Concessions oversees DEME’s broad-ranging and diverse concessions in the fields of renewables (wind, wave and tidal), marine infrastructure, dredging and ports for which DEME Concessions acts not only as a contractor but also as an equity investor and developer. Furthermore, DEME Concessions, as developer, is also taking a first-mover position in novel industries such as green hydrogen and deep-sea mineral harvesting. In close cooperation with the business and the other supporting DEME departments, you will sculpt and form the worldwide projects of DEME Concessions from the first cooperation with partners up to preparing and executing (i) the project financing, (ii) all relevant agreements and (iii) the construction and operation of the project.

Your main responsibilities will include:

  • Providing legal support in respect of the projects of DEME Concessions which are spread over the world ranging from port extensions, river concessions, developing and constructing offshore (floating) wind farms, pioneering development work in green hydrogen and many other related projects.
  • Assisting the business with all legal aspects of the concession projects which consists of participating in tenders, negotiating all sorts of agreements, and drafting, reviewing and amending of cooperation agreements, development agreements, shareholder agreements, share purchase agreements, concession agreements, EPC contracts, financing documentation, offtake agreements etc..
  • You will play a vital role in ensuring that the projects and agreements reach their execution phase which also means assisting with the financing process and achieving financial close.
  • You will assist any potential share sale processes of such projects under development or developed in close cooperation with the business and the selected financial and legal advisors.
  • You will lead the legal workstream for the projects and organize the support and contacts with reputable law firms from all over the world.
  • Providing practical legal advice on a large scope of legal questions related to the DEME Concession’s participations and activities.

Profiel

  • You hold a Master in Law.
  • You have minimum 3 years of experience in aforementioned areas, preferably as a lawyer or in-house counsel in an international environment.
  • You are fluent in English. Other languages (French, Dutch) are an asset.
  • You have strong communication and relational skills.
  • You have affinity with ports, marine infrastructure offshore industry and/or renewables industries.
  • You show creativity with regards to elaborating and providing solutions.
  • You have an open, unprejudiced, and international view. You are willing to travel for a limited period of time and at short notice with respect and understanding for different cultures.
  • You show curiosity and intellectual mobility, you are eager to learn and have an open mindset.
  • You are known for your availability, as well as responsiveness, tenacity, and willingness to succeed.
  • You are well organized and stress resistant, capable of handling multiple projects.
  • You are assertive, self-confident and a true team player, and at the same time you are able to work autonomously.
