Legal interim manager - Lawyer with 2-5 years’ experience within the fund industry

The Legal interim manager assists clients in launching and restructuring investment schemes and coordinates the review of legal documents received in order that they comply with the relevant legal framework.

• Support and assistance the business lines in relation to set-up questions, legal framework update and issues linked to the interpretation of the documentation (in liaison with the fund representatives if and when necessary)
• Mitigation of legal risk in performing fund review in liaison with business lines
• Keeping aware of legal framework updates and drafting of legal alerts
• Participation to working groups and projects
• Draft, update and amendment and / or review of the fund documentation (Prospectus, Articles of incorporation / Management regulations) in accordance with internal policies and procedures, liaise with Clients, Lawyers, Operation and Integrations teams on such documents
• Coordinate complex corporate events such as EGM, mergers, new launches,
• re-structuration’s
• Ensure that contractual documents for services where our client acts as service provider are appropriate according to the fund’s legal form, in liaison with Client documentation
• Filing of the legal documentation and liaison with authorities (CSSF) in case of appointment for the fund set-up (mainstream funds only)
• Filing of Fund legal documentation, including all services agreements

Profile

Strong knowledge of Luxembourg fund regulation and Corporate law
Experience of 2-5 years with the fund industry (Bank, law firm.. )
Be familiar with funds administration and custody services
Good analysis and summary spirit
Client focused
Excellent personal organization
Team spirit
Be familiar with fund operational services
Fluent English and German (preferably French)
Strong awareness of risk prevention
Master of Outlook, Internet, Word and Excel tools
